These Terms of Service (“Terms”) govern your access to and use of the website located at omegaintel.life (the “Website”) and the intelligence services offered by OmegaIntel Pte. Ltd. (“OmegaIntel”, “we”, “us”, or “our”). By accessing the Website or engaging our services, you agree to be bound by these Terms.

2. Acceptance of Terms

By accessing or using the Website, submitting an enquiry through our contact form, or engaging OmegaIntel for intelligence services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Website or our services.

If you are accessing the Website or services on behalf of a company or organisation, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Description of Services

OmegaIntel provides strategic intelligence, competitive analysis, executive briefings, APAC market research, risk intelligence, and related consulting services (“Services”). Our OMG-series intelligence solutions are described on the Website for informational purposes. Specific deliverables, timelines, and fees are defined in separate engagement letters or service agreements executed between OmegaIntel and the client.

Information on the Website, including product descriptions and pricing in Singapore Dollars (SGD), is subject to change without notice and does not constitute a binding offer until confirmed in writing.

4. Website Use

You agree to use the Website only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Website in any way that violates applicable laws or regulations in Singapore or your jurisdiction;
  • Attempt to gain unauthorised access to any part of the Website, its servers, or connected systems;
  • Transmit viruses, malware, or other harmful code;
  • Scrape, crawl, or systematically extract content from the Website without our prior written consent;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Interfere with or disrupt the Website or servers/networks connected to the Website.

5. Enquiries and Contact Form

Submitting an enquiry through our contact form does not create a client relationship or contractual obligation. All enquiries are subject to review and acceptance by OmegaIntel. We reserve the right to decline any enquiry at our sole discretion.

You agree that all information provided through the contact form is accurate and complete to the best of your knowledge. Providing false or misleading information may result in rejection of your enquiry.

6. Engagement and Service Agreements

Formal engagement for intelligence services requires execution of a written service agreement or engagement letter specifying scope, deliverables, fees, timelines, and confidentiality terms. In the event of any conflict between these Terms and a signed service agreement, the service agreement shall prevail with respect to the engaged services.

7. Fees and Payment

Pricing displayed on the Website is indicative and quoted in Singapore Dollars (SGD), exclusive of applicable goods and services tax (GST) unless otherwise stated. Final pricing is confirmed in writing prior to engagement commencement.

Payment terms, including invoicing schedules and accepted payment methods, are specified in the applicable service agreement. Late payments may incur interest at the rate permitted under Singapore law and may result in suspension of services.

8. Intellectual Property

All content on the Website — including text, graphics, logos, images, software, and design elements — is the property of OmegaIntel or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may view and download content for personal, non-commercial reference only. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any Website content without our prior written consent.

Intelligence deliverables produced under a service agreement are licensed to the client as specified in that agreement. Unless otherwise agreed in writing, OmegaIntel retains ownership of its methodologies, frameworks, templates, and underlying analytical tools.

9. Confidentiality

Both parties acknowledge that intelligence engagements may involve confidential information. Each party agrees to maintain the confidentiality of the other party's proprietary and confidential information disclosed during the course of an engagement, subject to the terms of the applicable service agreement.

Confidential information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is independently developed without reference to confidential information; or (d) is required to be disclosed by law or court order, provided the disclosing party gives prompt notice where permitted.

10. Disclaimer of Warranties

The Website and its content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

While OmegaIntel applies rigorous analytical standards, intelligence products are based on information available at the time of production. We do not warrant that intelligence deliverables will be error-free, complete, or suitable for any particular decision. Clients are responsible for their own business decisions based on intelligence provided.

We do not warrant that the Website will be uninterrupted, secure, or free from errors or that defects will be corrected.

11. Limitation of Liability

To the maximum extent permitted by applicable law in Singapore:

  • OmegaIntel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of the Website or Services.
  • Our total aggregate liability arising from or related to these Terms or the Services shall not exceed the total fees paid by you to OmegaIntel in the twelve (12) months preceding the claim, or SGD 5,000, whichever is greater.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Singapore law, including liability for death or personal injury caused by negligence, or fraud or fraudulent misrepresentation.

11A. Consumer Protection

Where you qualify as a consumer under the Consumer Protection (Fair Trading) Act (Cap. 52A) of Singapore, nothing in these Terms affects your statutory rights that cannot be excluded or limited by agreement.

12. Indemnification

You agree to indemnify, defend, and hold harmless OmegaIntel, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website, or your violation of any applicable law or third-party rights.

13. Third-Party Links

The Website may contain links to third-party websites or services. These links are provided for convenience only. OmegaIntel does not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party sites. Your use of third-party sites is at your own risk.

14. Personal Data

Your personal data is collected and processed in accordance with our Privacy Policy and the Personal Data Protection Act 2012 of Singapore (PDPA). By using the Website, you acknowledge that you have read and understood our Privacy Policy.

15. Termination

We may suspend or terminate your access to the Website at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Termination of a service engagement is governed by the applicable service agreement. Upon termination, provisions that by their nature should survive (including confidentiality, intellectual property, limitation of liability, and governing law) shall remain in effect.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.

Any dispute arising from or in connection with these Terms or the Website shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days, it shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (SIAC) for the time being in force. The tribunal shall consist of one arbitrator. The language of arbitration shall be English.

Notwithstanding the above, either party may seek injunctive or other equitable relief from the courts of Singapore for matters relating to intellectual property or confidentiality.

17. Force Majeure

OmegaIntel shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including natural disasters, pandemics, government actions, war, terrorism, labour disputes, or failures of telecommunications or internet infrastructure.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

19. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of OmegaIntel.

20. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and OmegaIntel regarding the Website. These Terms supersede all prior agreements, representations, and understandings, whether written or oral.

21. Amendments

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised “Last updated” date. Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
